Terms of Service

These terms govern your use of the start23 website and the products operated by Mohammad Ayman Aljonaidee Software Establishment, a sole proprietorship registered in the Hashemite Kingdom of Jordan.

1. Acceptance

By accessing the start23.io website or by using any product operated by us — including Replai — you agree to these terms. If you are using the service on behalf of a business, you represent that you have authority to bind that business to these terms.

2. The service

Replai is a software service that connects to a business's WhatsApp Business account and replies to inbound customer messages on the business's behalf, books appointments, and sends confirmations. The dashboard at app.replai.start23.io gives the business owner control over services, hours, prompts, and bookings. We may evolve the product over time.

3. Eligibility and accounts

You must be at least 18 years old and legally able to enter contracts. Account credentials are personal — keep them secure. You are responsible for everything that happens under your account, including the actions of any staff you add. Notify us immediately at mohammad@start23.io if you suspect unauthorised access.

We may suspend or terminate accounts that breach these rules or that are flagged by Meta for policy violations.

5. Customer data

Conversation logs, booking records, and configuration you enter belong to you. We process them on your behalf as described in our Privacy Policy. You are the data controller for the personal data of your customers; we are the processor. You are responsible for posting the disclosures and obtaining the consents that your local law requires.

6. Fees and payment

Subscription fees are stated in your invoice and on our commercial proposal. Fees are exclusive of any applicable taxes (including Jordanian sales tax / general sales tax), which we will charge where required. Invoices are due on the date stated on the invoice; overdue accounts may have access suspended. Refunds are at our discretion and generally prorated.

7. Service availability

We aim for high availability but do not guarantee uninterrupted service. Third-party providers — notably Meta WhatsApp, OpenAI, Resend, Vercel, and our database provider — are outside our direct control and may experience outages. We are not liable for outages caused by these providers. We will make reasonable efforts to keep the service stable and to notify you of material incidents.

8. Confidentiality

We treat your business and customer data as confidential. We do not disclose it to third parties except the subprocessors listed in our Privacy Policy, or where required by law.

9. Intellectual property

We own all right, title, and interest in the start23 brand, the Replai software, and the dashboard. You receive a non-exclusive, non-transferable right to use the service for your business during your subscription. You retain rights to your data.

10. Termination

Either party may terminate the agreement on 30 days' written notice. We may terminate immediately for non-payment after notice and a reasonable cure period, or for breach of §4 (Acceptable use). On termination we will delete your data per the retention rules in our Privacy Policy.

11. Disclaimers

The service is provided "as is" and "as available". The AI replies are generated by a language model and may contain errors; you remain responsible for verifying bookings and commitments made on your behalf. We disclaim all warranties, express or implied, including merchantability, fitness for purpose, and non-infringement, to the maximum extent permitted by law.

12. Limitation of liability

To the extent permitted by law, our total liability arising out of or in connection with these terms is limited to the fees you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.

13. Governing law and disputes

These terms are governed by the laws of the Hashemite Kingdom of Jordan, without regard to conflict-of-laws rules. The parties agree to attempt good-faith resolution before legal action; failing that, the competent courts of Amman, Jordan, have exclusive jurisdiction. The English version of these terms governs in the event of any discrepancy with the Arabic translation.

14. Changes

We may update these terms from time to time. Material changes will be communicated by email or through the dashboard at least 14 days before they take effect. Continued use of the service after the effective date constitutes acceptance.
